Lumoweb Website Services Agreement
This Website Services Agreement ("Agreement") is entered into between Lumoweb ("Lumoweb", "we", "us"), a web design and hosting service based in Toronto, Ontario, Canada, and the individual or business signing below ("Client", "you").
This Agreement is executed electronically in accordance with the Electronic Commerce Act, 2000 (Ontario). Your typed name and checkbox confirmation below constitute a legally binding electronic signature.
1. Services
Lumoweb agrees to design, build, and host a website for the Client based on the plan selected at the time of signup. Services include:
- Custom website design based on the selected template and your onboarding information
- Website hosting, SSL certificate, and CDN delivery
- Access to the Lumoweb client portal for self-serve content updates
- AI assistant widget trained on your business information
- The number of revision rounds specified in your selected plan
- Ongoing maintenance and security updates for the duration of your subscription
Services not included in the standard plans (e.g., custom integrations, e-commerce, multi-page builds) are available under a Custom plan and quoted separately.
2. Payment terms
Your total due at signup includes: (1) a one-time setup fee, (2) your first period of service (monthly or annual), and (3) a last-month deposit (monthly plans only). These are described in detail in your order summary on this page.
Setup fee: A one-time fee covering the design and build of your website. The setup fee is non-refundable once your onboarding form has been submitted and work has commenced. If you cancel before submitting your onboarding form, the setup fee will be refunded in full.
Recurring subscription: Following your initial period, your subscription renews automatically at the rate in effect at the time of renewal. We will notify you of any price changes at least 30 days in advance by email.
Last-month deposit (monthly plans only): An amount equal to one month's subscription fee is collected at signup and held on account. This deposit is not an additional charge — it is applied automatically to your final billing period when you cancel. It will not be used for any other purpose. Annual plan clients are not required to pay a last-month deposit, as the annual payment constitutes a full commitment.
Annual plans: Annual subscriptions are billed once per year. If you cancel an annual plan before the end of your billing year, no refund is issued for the remaining months, but your site will remain live and accessible until the end of the paid period.
All prices are in Canadian dollars (CAD) and are subject to applicable taxes including HST where required.
3. Cancellation policy
Either party may cancel this Agreement with 30 days' written notice sent to the other party by email.
On cancellation by the Client:
- Your website will remain live for the remainder of your current paid period
- At the end of your paid period, your website licence terminates and the site will be taken offline
- Your last-month deposit (if applicable) will be applied to your final month's subscription — no additional charge is due for that period
- We will return all of your original content (text, images, logos, documents) within 14 days of your final billing date
- Your domain name (if registered in your name) remains yours; we will assist with pointing it elsewhere at no charge
- The website design, code, and structure remain the property of Lumoweb
If Lumoweb cancels this Agreement, we will provide 30 days' notice, a full refund of any unused subscription period, and return all of your original content files.
4. Revision rounds
Your plan includes a set number of revision rounds as specified above. A revision round is defined as one complete set of feedback submitted through the client portal or by email, and the corresponding changes made by Lumoweb. Additional revision rounds beyond your plan allowance may be purchased at $75 per round.
5. Client responsibilities
To enable us to build your site, you agree to:
- Complete the onboarding form within 14 days of signup. If not completed within this period, your project may be delayed and the setup fee is not refundable
- Provide accurate, complete, and lawful content including text, images, logos, and other materials
- Ensure you own or have the right to use all content provided to Lumoweb
- Review previews and provide feedback within 7 business days of receiving a preview link
6. Intellectual property & licence
Your content: You retain full ownership of all content you provide to Lumoweb — text, images, logos, videos, and documents. Upon cancellation, we will return all of your original content files within 14 days at no charge.
The website: The website designed and built by Lumoweb — including its design, layout, code, and structure — remains the intellectual property of Lumoweb at all times. Your subscription grants you a non-exclusive, non-transferable licence to use the website for the duration of your active subscription. This licence terminates when your subscription ends. Upon cancellation, the website will be taken offline.
Additional customisations: Custom features, new sections, or design changes requested after your site is live are available for an additional fee as outlined in our Add-ons menu. These additions become part of your licensed website and are subject to the same licence terms.
Attribution: Lumoweb may include a small "Site by Lumoweb" credit in the footer of your website. This may be removed on request at no charge.
7. Limitation of liability
Lumoweb's total liability to you under this Agreement for any claim shall not exceed the total amount paid by you in the 3 months preceding the claim. Lumoweb is not liable for indirect, incidental, or consequential damages including lost revenue, lost data, or loss of business opportunity.
Lumoweb makes reasonable efforts to maintain 99.9% uptime but does not guarantee uninterrupted service. Planned maintenance will be communicated in advance where possible.
8. Privacy
Lumoweb collects and handles your personal information in accordance with our Privacy Policy (lumoweb.ca/privacy) and the requirements of the Personal Information Protection and Electronic Documents Act (PIPEDA). We do not sell your information to third parties.
9. Governing law
This Agreement is governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein. Any disputes shall be resolved in the courts of Ontario.
10. Entire agreement
This Agreement, together with the order summary and any additional scope agreed to in writing, constitutes the entire agreement between the parties and supersedes all prior discussions. Any amendments must be agreed to in writing by both parties.
11. Electronic signature
By typing your full legal name and checking the confirmation box below, you acknowledge that you have read and understood this Agreement in its entirety and agree to be bound by its terms. This electronic signature is valid and binding under the Electronic Commerce Act, 2000 (Ontario).

This isn't an extra fee — it's your money held securely. When you eventually cancel, we apply it automatically to your last month so you owe nothing. Annual plan clients don't pay a deposit since you're already committed for the year.
